NPO Terms & Conditions

By registering for the Whispering Vegan NPO Partnership Program, your Non-Profit Organisation ("NPO") agrees to the following terms and conditions:

 

1. Program Overview:

Whispering Vegan commits to donating 5% of its monthly profits to one registered animal welfare NPO. The recipient NPO will be determined by a monthly community vote conducted via the Whispering Vegan website.

2. Eligibility:

a. Applicants must be a legally registered Non-Profit Organisation in South Africa with a valid NPO registration number from the Department of Social Development.

b. The NPO's primary mission and activities must be solely or primarily dedicated to animal welfare and protection.

c. NPOs must be based and actively operating within the Gauteng province of South Africa.

d. All information provided in the registration form must be accurate, complete, and verifiable.

3. Registration Process:

a. NPOs must complete the official Whispering Vegan NPO Partnership Program registration form provided on our website.

b. Required documentation, including the official NPO Registration Certificate and a letter from the NPO's bank confirming banking details, must be uploaded via the form.

c. Whispering Vegan reserves the right to verify all submitted information and documentation. Incomplete or unverifiable applications will not be approved.

d. Approval of an application will be communicated via email within 7 business days of submission. Approval does not guarantee selection for a monthly vote or donation.

4. Monthly Voting Process:

a. All approved and registered NPOs will be eligible to be voted for in our monthly community vote.

b. Voting will take place on the Whispering Vegan website, with promotions and links shared on our social media platforms.

c. The voting period will run throughout each calendar month, concluding on the second-last day of that month.

d. Only one vote per unique user per day may be counted. Whispering Vegan reserves the right to invalidate votes suspected of being fraudulent or automated.

e. The NPO with the highest number of valid votes at the close of the voting period will be selected as the monthly recipient.

5. Donation Disbursement:

a. The selected NPO will receive 5% of Whispering Vegan's profits from the preceding month.

b. The donation will be transferred via Electronic Funds Transfer (EFT) to the NPO's official bank account, as provided in the registration, by the 7th day of the following month.

c. Whispering Vegan is not responsible for any bank fees or charges incurred by the NPO during the transfer.

d. The NPO acknowledges that the amount of the donation will vary monthly depending on Whispering Vegan's profitability.

6. Product Collaboration

a. Whispering Vegan may, at its sole discretion, invite registered NPOs to participate in a product collaboration to create a unique item for sale on our online shop. An invitation to collaborate does not guarantee the product will be produced or sold.

b. Product Development: The NPO will collaborate with Whispering Vegan on the concept, name, and/or design of the co-branded product. All product ingredients must be vegan and align with Whispering Vegan's values and quality standards.

c. Revenue Share: Whispering Vegan agrees to donate 50% of the profit from each sale of the co-branded product to the collaborating NPO. Profit is defined as the final sale price minus the cost of raw materials, packaging, and any other direct production costs.

d. Product Listing and Sale: The co-branded product will be listed for sale on the Whispering Vegan online shop for a mutually agreed-upon period. Whispering Vegan retains full control over the listing, pricing, and marketing of the product.

e. Disbursement of Funds: Funds from the product collaboration will be transferred to the NPO's official bank account on a monthly basis. An itemized report showing sales and the resulting donation amount will be provided with each transfer.

f. Termination of Collaboration: Either party may terminate the product collaboration at any time by providing written notice to the other. Upon termination, Whispering Vegan will remove the product from its online shop within 7 business days and will transfer any outstanding funds owed to the NPO.

7. Use of NPO Information and Publicity:

a. By registering, NPOs grant Whispering Vegan permission to use their official name, logo, mission statement, key activities, impact statement, and submitted images (if provided) for promotional purposes related to the NPO Partnership Program, including on the Whispering Vegan website, social media, and marketing materials.

b. Winning NPOs agree to provide reasonable cooperation for promotional activities, such as providing a testimonial or photo acknowledging the donation.

8. Program Changes and Termination:

a. Whispering Vegan reserves the right to modify, suspend, or terminate the NPO Partnership Program or these Terms & Conditions at any time, with or without prior notice.

b. Such changes will be effective immediately upon posting on the Whispering Vegan website. NPOs are responsible for regularly reviewing these terms.

9. Limitation of Liability:

a. Whispering Vegan is not responsible for any technical issues, system failures, or errors that may affect the registration process, voting, or donation transfer.

b. Whispering Vegan makes no guarantees regarding the frequency of selection or the amount of donations.
